These Terms of Service ("Terms") govern your access to and use of the ST1 Sports website located at st1sports.com (the "Site") and any purchase of products or services from ST1 Sports ("ST1 Sports," "we," "us," or "our"). By accessing the Site, creating an account, requesting a quote, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms should be read together with our Privacy Policy, Shipping Policy, and Refund & Return Policy, each of which is incorporated into these Terms by reference.

1. Who May Use the Site

You must be at least 18 years old, or the age of majority in your jurisdiction, to make a purchase. If you are using the Site or placing an order on behalf of a school, district, club, league, business, or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Accounts

You may need to create an account to use certain features or to purchase on account terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please provide accurate, current, and complete information and keep it updated. Notify us promptly of any unauthorized use of your account.

3. Acceptable Use

You agree to use the Site only for lawful purposes. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Site, other accounts, or our systems;
• Introduce viruses, malware, or other harmful code;
• Engage in fraudulent activity, including submitting false order, payment, or tax-exemption information;
• Scrape, harvest, or collect information about other users, or copy the Site's content for commercial purposes without our permission;
• Interfere with or disrupt the operation of the Site.

4. Products, Descriptions & Availability

We work to ensure that product descriptions, images, specifications, and pricing are accurate. However, we do not warrant that product descriptions or other content are error-free, complete, or current. Product images are for illustration and may differ slightly from the actual item. All products are subject to availability, and we may discontinue or modify products at any time without notice.

5. Pricing & Errors

All prices are listed in U.S. dollars (USD) and are subject to change without notice. Despite our best efforts, products may occasionally be mispriced or contain errors. If we discover an error in the price of a product you have ordered, we will notify you and give you the option to confirm your order at the correct price or cancel it. We reserve the right to correct any errors and to cancel any order placed based on inaccurate pricing or product information, even after an order has been submitted or acknowledged.

6. Quotes & Orders

Quotes we provide are estimates based on the information available at the time and are valid for the period stated on the quote (or 30 days if none is stated). Quotes are not a guarantee of availability or final pricing until an order is accepted.

All orders are offers to purchase and are subject to our acceptance. We may accept or decline any order, or limit quantities, at our discretion. An order is accepted when we send an order or shipping confirmation. We reserve the right to cancel or refuse any order, including orders that appear fraudulent, that violate these Terms, or that we are unable to fulfill.

7. Institutional & Tax-Exempt Purchasing

ST1 Sports supports purchase orders (POs) and tax-exempt purchasing for eligible schools, districts, and organizations. To purchase on PO or tax-exempt terms, you must provide valid documentation (such as a purchase order authorized by your organization and a current tax-exemption certificate). You are responsible for the accuracy of this documentation. If tax-exempt status cannot be verified, applicable taxes will apply. Invoices issued on account are due according to the terms stated on the invoice, and past-due balances may be subject to collection and applicable fees. 8. Custom, Personalized & Team Orders

We offer custom apparel, decoration (including embroidery and sublimation), bulk and team orders, and custom team stores. For custom or personalized items:

• You are responsible for approving all artwork, logos, names, numbers, sizes, colors, and spelling before production. Once approved and in production, custom orders generally cannot be changed or cancelled.
• Custom, personalized, and decorated items are made to order and are non-returnable and non-refundable except where they arrive defective or incorrect due to our error. See our Refund & Return Policy for details.
• By submitting artwork, logos, names, or other materials, you represent that you have the right to use them and grant us the license needed to produce your order. You agree to indemnify us against claims arising from materials you supply, including trademark or copyright infringement.
• Minor variations in color, placement, and finish are normal in custom decoration and are not considered defects.

9. Payment

We accept the payment methods shown at checkout or on your invoice. By submitting payment information, you represent that you are authorized to use the payment method and authorize us to charge the total amount of your order, including taxes and shipping. For orders placed on account or by purchase order, payment is due according to the invoice terms.

10. Shipping & Delivery

Shipping and delivery are governed by our Shipping Policy. Delivery dates and transit times are estimates only and are not guaranteed. Risk of loss passes to you upon delivery to the carrier. You are responsible for providing accurate shipping information; we are not responsible for orders shipped to incorrect or incomplete addresses provided by you.

11. Returns & Refunds

Returns, exchanges, and refunds are handled in accordance with our Refund & Return Policy. Please review it before purchasing, particularly the sections on non-returnable items and custom or personalized products.

12. Product Use & Safety

Athletic equipment and apparel must be selected, fitted, used, and maintained properly. You are responsible for ensuring that products are appropriate for the intended sport, age group, skill level, and any applicable league, association, or governing-body rules and safety standards. No athletic equipment can eliminate the risk of injury. Always follow the manufacturer's instructions, warnings, and inspection and replacement guidance. ST1 Sports is not responsible for injury or loss resulting from improper selection, fit, use, modification, or maintenance of products.

13. Intellectual Property

The Site and its content — including text, graphics, logos, images, page layouts, and the ST1 Sports name and logo — are the property of ST1 Sports or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission.

14. Third-Party Brands & Trademarks

ST1 Sports sells products from many third-party manufacturers and brands. All brand names, trademarks, logos, and product names — including but not limited to Wilson, Rawlings, Mizuno, New Balance, Spalding, Champro, Marucci, Baden, Gill Athletics, Warstic, DeMarini, Louisville Slugger, EvoShield, and others — are the property of their respective owners. Their appearance on the Site is for identification and reference only and does not imply endorsement of ST1 Sports by those owners.

15. Third-Party Links

The Site may contain links to third-party websites or resources. We provide these links for convenience only and are not responsible for the content, products, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms and policies.

16. Reviews & Submissions

If you submit reviews, comments, or other content to the Site, you grant ST1 Sports a non-exclusive, royalty-free, worldwide license to use, display, and reproduce that content in connection with our business. You are responsible for the content you submit, and it must not be unlawful, misleading, infringing, or offensive. We may remove any submitted content at our discretion.

17. Disclaimer of Warranties

Except where prohibited by law, the Site and all products and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Many products carry manufacturer warranties; where available, those warranties are provided by the manufacturer and passed through to you, and any claims under them are subject to the manufacturer's terms. We do not warrant that the Site will be uninterrupted, secure, or error-free.

18. Limitation of Liability

To the fullest extent permitted by law, ST1 Sports and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or any products purchased, whether based in contract, tort, or otherwise. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms, the Site, or a product will not exceed the amount you paid for the product giving rise to the claim.

19. Indemnification

You agree to indemnify and hold harmless ST1 Sports and its officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or materials you supply to us for custom orders.

20. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

21. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms, the Site, or a product will be brought exclusively in the state or federal courts located in El Paso County, Colorado, and you consent to the personal jurisdiction of those courts.

22. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above indicates when the latest changes took effect. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

23. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with the policies referenced above, constitute the entire agreement between you and ST1 Sports regarding the Site. We may assign these Terms in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay in performance caused by events beyond our reasonable control.
